BConnectClub TERMs and CONDITIONS FOR EAM and DAM INDIVIDUAL Members
BConnectClub is a company registered in England under registration no. 10738388 (the "Company")
1.1 BConnectClub (BCB) is a digital platform for high net worth individuals (HNW families) and their family offices, and the industries and businesses which serve them and have subscribed to BConnectClub ("Corporate Members and Individual Advisors" together called “Members”).
1.2 A Member is in business, to facilitate investments or projects between or for UHNW individuals or any organization or entity to which they are connected, or as a provider of products and/or services to the high net worth community or their family office.
1.3 The Terms and Conditions may change from time to time in accordance with Clause 12 below.
2.1 "Aims and Objectives of the Company" are to facilitate connecting UHNW individuals and their family offices to each other and to Corporate Members, to promote the deals, news, views, products and services of our Corporate Members to their Network using the functionality on the digital platform, to other Corporate Members and to our UHNW individuals.
2.2 "BConnectClub" means the digital platform for Individual Members where Corporate Members can promote their services and products to each other, to UHNW Individual Members and to their Colleagues and Network using the social media functionality
2.3 “Member’s Directory Profile” means an entry in the Corporate Member’s Directory which includes the ability to post content on their profile which will feature on the Homepage.
2.4 “Deal Access Member” (“DAM”)means an individual member who has had his or her Net Wealth verified by a Professional to be in excess of £100m or has been invited by the Club to be a DAM
2.5 “Engagement Terms for UHNW Deal Channel” are the terms of engagement of any Member which is in business to promote or facilitate the making of investments or projects through the UHNW Deal Channel. The terms need to be agreed before our UHNW Individual Members are permitted entry to the UHNW Deal Channel. At no time will the Company engage in arranging investments and the terms of this document shall be included in this agreement.
2.6 “Event” means a party, seminar, meeting or any other such event.
2.7 "Event Access Member" (EAM) is an individual member who has had his or her Net Wealth verified by a Professional to be in excess of £5m or has been invited by the Club to be an EAM.
2.8 "Homepage" means the homepage where news, views, services and products of Corporate Members will feature which can be followed and filtered to preferences.
2.9 "Net Wealth" is the value of an Individual Member’s net estate including the value of the Member’s spouse's estate and the value of any trust or foundation set up by the Member, or of the Member as the primary beneficiary or that part of the trust fund to which the Member is a primary beneficiary after deducting any debts, loans, guarantees or obligations.
3.1 Members will be given an Members Directory Profile on BCB.
3.2 Members will be able to attend only such Events of which they are sponsors.
3.3 Event Access Member may attend the events posted in the Events page
4 COMMISSION AND INTRODUCER’S FEE
5.1 A Member with an Investment or Project to promote may promote the investment or Project on the UHNW Deal Channel. The investment promotion will not be sufficiently detailed to identify the investment or project, it is designed only as a teaser. A DAM shall agree to the Engagement Terms of the UHNW Deal Channel before being permitted entry.
5.2 For the purposes of this Clause an "Investment" or “Project” shall mean any form of investment; direct, debt, pooled, real estate and alternative and shall include a project for which there is no defined legal form at the present time and a project for which there will be an exchange of monies for a defined purpose, outcome or obligation.
5.3 For the purposes of this Clause, "Commission" shall mean the fee payable by the Member in accordance with the Terms and Conditions for Members on a case be case basis.
The Company shall use its best endeavors to ensure that the identity, contact details, correspondence address, email, fax or any other contact details or any personal preference of any of its Individual Members, other than those made available by the Individual Members personally shall not be disclosed at any time to a Corporate Member or any other third party other than in accordance with an order of a Court or other similar authority.
7. HONESTY AND ACCURACY
7.1 A HNW individual which wishes to apply as a EAM or DAM undertakes to provide honest and accurate information, including correct name, address and any other requested information to the Club.
7.2 Each EAM or DAM undertakes to notify the Company of any change in his/her financial circumstances such that they he or she falls below the minimum Net Worth for the Wealth Profile for which they have been verified.
7.3 Each EAM or DAM shall provide further verification if the Company has reason to believe that the financial circumstances of the Individual Member has changed such that he/she may have ceased to qualify as a EAM or DAM.
7.4 Each HNW individual EAM or DAM is responsible for everything which he/she does on or through BCB.
7.5 Each EAM or DAM together with each and every Member undertakes not to use BCB to abuse, discriminate, threaten, harass or communicate offensive messages or images to another HNW EAM or DAM or Member or third party.
7.6 Each Member undertakes to ensure that any notice, correspondence or other information posted is not capable of:
7.6.1 Infringing the intellectual property or other rights of any person or entity.
7.6.2 Breaching any applicable law, whether criminal, tortuous or otherwise.
7.6.3 Appearing to be offensive, threatening, abusive, discriminatory, obscene, pornographic, false, libellous, defamatory, unreliable or misleading.
7.7 Each EAM or DAM, together with each and every Member shall contact the Company if he/she or it has reason to believe that a Member is in breach of Clause 7.6.
7.8 BCB reserves the right to terminate the membership of any EAM or DAM without reason.
7.9 Any EAM or DAM whose membership has been terminated in accordance with Clause 7.8 may not reapply as a EAM or DAM without the prior consent of the Club.
8. LIMITATION OF LIABILITY
8.1 The Club is not responsible for the accuracy of the financial circumstances of any EAM or DAM.
8.2 BCB is not responsible for the divulgence of any information by an EAM, DAM or Member.
8.3 Each EAM, DAM and Member’s use of BCB is entirely at their own risk.
8.4 To the extent that the law permits, the EAM or DAM individual releases the Club and its directors, contractors and employees free from all liability (including in relation to disputes with other EAM or DAM individuals and/or Members) arising out of any use of BCB and the material on BCB.
9.1 Each EAM and DAM shall indemnify the Club and its directors, contractors and employees against all liabilities, claims and expenses that may arise from any breach of this Agreement with the Club or with or by a Member.
10.1 The Club reserves the right to assign this Agreement and to assign or, subcontract any or all of its rights and obligations under this Agreement.
10.2 An EAM and DAM may not without the written consent of the Club assign or dispose of this Agreement.
11. ENTIRE AGREEMENT
11.2 A person who is not a EAM or DAM has no right under the Contracts (Rights of Third Parties) Act 1999 to rely upon or enforce any term of this Agreement.
12.1 The Club reserves the right to amend, vary or change any of the terms and conditions of this Agreement with the EAM and DAMs from time to time and post the new version on BCB
12.2 The Club will post the new Agreement on the Homepage to include any amendment, variation or change of any of the terms and conditions of this Agreement
12.3 This Agreement, and any new version of it in the future, shall take effect immediately subject to any clause to the contrary.
13.1 In the event that any term of this Agreement is held to be invalid or unenforceable by judicial decree or decision the remainder of this Agreement shall remain valid and enforceable.
14. DISPUTE RESOLUTION
14.1 If any dispute arises in connection with this Agreement, the parties will attempt to settle it by mediation in accordance with the CEDR Model Mediation Procedure. Unless otherwise agreed between the parties, the mediator will be nominated by CEDR.
15.1 This Agreement shall be governed by and construed in accordance with the laws of England and Wales.
